Terms of Use for Join My Village

By accessing or otherwise interacting with Join My Village’s (“JMV”) servers, services, websites, or any associated content/postings (together, “JMV Services”), you agree to these Terms of Use (“TOU”). You acknowledge and agree JMV is a private site owned and operated by Join My Village. If you are accessing or using JMV on behalf of a business, you represent and warrant to JMV that you have authority to accept the TOU on behalf of that business. If you do not agree to the TOU, you are not authorized to use JMV Services. JMV may modify the TOU at any time in our sole discretion. You are responsible for periodically checking for changes and are bound by them if you continue to use JMV.

ACKNOWLEDGMENTS

When using JMV Services, you acknowledge that:

  • JMV cannot be held responsible for the behavior of its users, either on or off the website 
  • JMV cannot guarantee that any information provided by a user is true, accurate, complete, current and not misleading
  • JMV does not confirm the identity of its users, check their credit worthiness or bona fides, or otherwise vet them;
  • JMV does not check, audit or monitor the information contained in advertisements or listings;
  • JMV does not control or direct what people and others do or say, and JMV is not responsible for their actions or conduct (whether online or offline) or any content they share (including offensive, inappropriate, obscene, unlawful, and other objectionable content);
  • JMV has no control over and does not guarantee the existence, quality, safety, or legality of any goods or services listed by users of JMV Services
  • JMV is not party to any contract for the sale or purchase of products, digital products or services advertised or listed on the website;
  • JMV is not involved in any transactions between website users in any way;
  • JMV is not the agents for any users of JMV Services;
  • All of the information you supply through JMV Services, or in relation to JMV Services, is true, accurate, current, complete and non-misleading;
  • You must, to the fullest extent allowed by law, comply with the TOU and all applicable laws, rules, and regulations;
  • You must only use JMV Services for authorized and acceptable purposes;
  • You must report any content or conduct that you believe violates the TOU.

RESTRICTIONS ON USE

By using JMV Services, you agree that YOU WILL NOT:

  • Use JMV Services to do anything that’s illegal or help anyone else do something that is illegal. This includes using the services to commit any crime or infringe anyone’s intellectual property rights.
  • Use JMV Services to do harm to yourself or others, including but not limited to trying to gain access to another user’s account or any non-public portions of JMV Services, infringing anyone else’s intellectual property rights or any other proprietary rights, harassing, bullying, spamming, auto-messaging, or auto-dialing people through JMV Services; or
  • Use JMV Services to do harm to JMV, including but not limited to trying to gain access to or attacking JMV systems, scraping data, transmitting viruses or other malicious code to its services, copying its product or using its intellectual property without permission, and misusing its reporting or customer service mechanisms.

JMV reserves the right to suspend or terminate your account and/or your access to some or all of our services with or without notice, at its discretion, including if:

  • You breach these terms of use, any other policies, or additional terms that apply to specific products.
  • JMV is required to do so to comply with a legal requirement or court order.
  • JMV reasonably believe termination is necessary to prevent harm to you, JMV, other users, or third parties.

DISCLAIMER & LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, JMV, AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AFFILIATES, AND SUCCESSORS IN INTEREST (“JMV ENTITIES”) MAKE NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ABOUT JMV SERVICES. JMV SERVICES ARE PROVIDED “AS IS.” JMV ALSO DISCLAIMS ANY IMPLIED WARRANTIES AS TO ACCURACY, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. 

THE INFORMATION PRESENTED ON OR THROUGH JMV SERVICES IS MADE AVAILABLE SOLELY FOR INFORMATIONAL PURPOSES. JMV DOES NOT CONFIRM THE ACCURACY, COMPLETENESS, OR USEFULNESS OF THE INFORMATION. ANY RELIANCE YOU PLACE ON SUCH INFORMATION IS SOLELY AT YOUR OWN RISK. JMV ISN’T LIABLE FOR THE CONDUCT OR CONTENT, WHETHER ONLINE OR OFFLINE, OF ANY USER OF JMV SERVICES. THE EXCLUSIONS AND LIMITATIONS OF DAMAGES SET FORTH HEREIN ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN JMV AND YOU. YOU ARE SOLELY RESPONSIBLE FOR ALL OF YOUR COMMUNICATIONS AND INTERACTIONS WITH OTHER MEMBERS OR OTHER USERS OF JMV SERVICES. JMV MAKES NO WARRANTY THAT ANY GOODS OR SERVICES PROVIDED BY THIRD PARTIES WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, SECURE, OR ERROR-FREE BASIS. JMV MAKES NO WARRANTY REGARDING THE QUALITY OF SUCH GOODS OR SERVICES, NOR THE ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS, OR RELIABILITY OF ANY CONTENT MADE AVAILABLE BY THIRD PARTIES ON OR THROUGH THE SERVICES.

JMV ALSO DISCLAIMS ANY LIABILITY OR RESPONSIBILITY FOR ACTS, OMISSIONS, OR CONDUCT OF YOU OR ANY PARTY IN CONNECTION WITH JMV. JMV ENTITIES ARE NOT LIABLE FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, PUNITIVE, OR OTHER LOSSES, INCLUDING LOST PROFITS, REVENUES, DATA, GOODWILL, ETC., ARISING FROM OR RELATED TO JMV OR JMV SERVICES, AND IN NO EVENT SHALL SUCH LIABILITY EXCEED $100. 

THE LAWS OF CERTAIN JURISDICTIONS OR STATES DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES. TO THE EXTENT SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER THE LAWS OF YOUR JURISDICTION, JMV LIMITS THE DURATION AND REMEDIES OF SUCH WARRANTIES TO THE FULL EXTENT PERMISSIBLE UNDER THOSE LAWS. FURTHERMORE, YOU AGREE THAT YOUR LOSSES AND DAMAGES ARE LIMITED TO THOSE THAT ARE A REASONABLY FORESEEABLE RESULT OF JMV’S FAILURE TO USE REASONABLE CARE AND SKILL OR JMV’S BREACH OF ITS CONTRACT WITH YOU.

INDEMNITY

You agree to indemnify and hold JMV Entities harmless from any claims, cause of action, demand, dispute, losses, liability, or expenses (including attorneys’ fees) that arise from a third party and relate to your access or use of JMV Services (“Claims”). If you are using the services on behalf of a business or legal entity and not in an individual capacity, then you agree as the authorized representative of that business or legal entity to indemnify and hold JMV Entities harmless from and against any Claims related to its access or use of JMV Services. All Claims will be governed by the internal laws of Louisiana, without regard to conflict of law provisions, except to the extent governed by US federal law. All Claims will be exclusively resolved by courts in Lafayette, LA (except we may seek preliminary or injunctive relief anywhere). IF YOU’RE A U.S. RESIDENT, YOU AND JMV AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN OUR INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. 

MISCELLANEOUS PROVISIONS

Unless you have entered into a separate written or electronic agreement with us that expressly references the TOU, the TOU is the exclusive and entire agreement between JMV and you, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. JMV’s actions or silence toward you or anyone else does not waive, modify, or limit the TOU or JMV’s ability to enforce it. If a TOU term is unenforceable, it shall be limited to the least extent possible and supplemented with a valid provision that best embodies the intent of the parties. Any part of these terms that by their nature should survive after termination of these terms will survive.
